These Terms and Conditions ("Terms") form a binding agreement between you and SuperHost Depot LLC, the company operating the HostDesk platform ("HostDesk," "we," "us," or "our"). They apply to your access to and use of:
By creating an account, using any HostDesk platform, signing a related agreement, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you must not use HostDesk services.
If you enter into a separate written agreement with HostDesk (for example, a CoHost Pro Services Agreement, Vendor Agreement, or Property Protection Addendum) and there is a conflict between that document and these Terms, the signed agreement will control for the subject matter it covers. These Terms will still govern your general platform use.
You represent that you are at least 18 years old and legally able to enter into contracts.

HostDesk operates technology and support services that help Hosts run short term rentals more efficiently. Unless expressly agreed in a separate written contract, HostDesk is not:
Vendors who join the Vendor Network are independent contractors. They are not employees, agents, partners, or joint venturers of HostDesk. Vendors control how and when they perform their services, subject to the specific Work Orders and applicable law.
You acknowledge that HostDesk is not responsible for Vendors' acts or omissions, and that all work performed by Vendors is solely between the Host (or Client) and the Vendor.
Under HostDesk for Partners, HostDesk licenses the HostDesk platform to qualified property management companies that operate independently under their own licenses and agreements. HostDesk is not responsible for a Partner's compliance with licensing requirements, fair housing, zoning, or any other applicable laws, and does not supervise their day to day operations or client relationships.
You must provide accurate, complete information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account credentials.

HostDesk may suspend or terminate accounts at its discretion for violations of these Terms, suspected fraud, abuse, or other risk related reasons.
Koli Essential gives Hosts access to AI tools inside HostDesk at no cost. Koli AI extends this with unlimited properties and unlimited AI searches. Features available across these plans may include:
These tools are informational and assistive only. They are not a substitute for professional advice or your own review.
HostDesk may limit usage, change features, introduce rate limits, or discontinue tools at any time, with or without notice.
Koli Concierge adds guest experience automation, including a centralized inbox and AI auto-responses. Co-Host Pro adds rule-bound coordination support with a human team, while the Host remains the account owner on booking platforms.

Exact features, response targets, and service levels may vary by property, region, and configuration. Any service descriptions or marketing materials are subject to these Terms and to the written agreement you sign.
HostDesk for Partners is a B2B white-label platform licensed to qualified property management companies. Under this program, a licensed property management company ("Partner") accesses the full HostDesk platform under their own branding to manage their client portfolio. Partners operate independently and assume all operational, legal, compliance, and performance responsibilities for their clients and properties. HostDesk provides platform infrastructure, AI tools, and vendor marketplace access only. HostDesk is not responsible for a Partner's compliance with licensing requirements, fair housing, zoning, or any other applicable laws, and does not supervise their day to day operations. The Partner's obligations, fees, and scope are defined in a separate HostDesk for Partners agreement

If a Host uses HostDesk AI Tools or templates to generate listing content, rules, or messages, the Host is responsible for reviewing them before publishing and ensuring that they are accurate and lawful.
This section summarizes key concepts. The full Vendor Network Terms and Conditions are incorporated by reference and govern Vendors in detail.
Vendors must meet all onboarding requirements, including identity verification, valid business licenses or permits, tax information, and required insurance. Vendors must comply with all laws that apply to their trade.
HostDesk may request updated documents at any time and may suspend a Vendor or hide them from the Marketplace if documentation expires, appears inaccurate, or raises risk concerns.
Work Orders set out required tasks, timing, and pay structure. Vendors must:
Incomplete or negligent work may lead to rework at the Vendor's expense, reduced payment, non-payment, or removal from the Vendor Network.
Vendors agree not to use information obtained through HostDesk to solicit or accept work directly from HostDesk Clients outside of the Platform, including by offering lower prices or future direct bookings. Hosts likewise agree not to bypass HostDesk to hire Vendors introduced through the Vendor Network for off platform jobs intended to avoid fees.
HostDesk may, in its discretion, suspend or terminate any account involved in circumvention.
Vendor payouts are processed through third party payment processors such as Stripe. Payout timing is subject to processor policies, verification steps, dispute holds, and banking delays. HostDesk is not responsible for delays caused by financial institutions or payment providers.
HostDesk may offset or withhold payouts to address disputes, chargebacks, damage claims, or corrections.
HostDesk does not guarantee the quality, timing, or suitability of Vendor services. Hosts and Clients are expected to review Vendor profiles, documentation, and reputation data before sending Work Orders. Any dispute about work quality is primarily between the Host (or Client) and the Vendor, subject to HostDesk's internal escalation and support processes.
This Section governs HostDesk AI features. Section 8.1 describes assistive AI outputs that you review before acting. Section 8.2 governs prohibited uses. Section 8.3 governs Approved Rules under which you authorize HostDesk to execute actions on your behalf. The framework in Section 8.3 is materially different from Section 8.1 and is governed by Sections 8.3, 14, and 16.6.
AI Tools are assistive. They may draw on public data, third party data, and user inputs. AI outputs can be wrong, incomplete, outdated, or not fit for your specific circumstances.
The following are examples of AI outputs that require your independent review and judgment:

HostDesk may log AI interactions and use them to improve systems, subject to the Privacy Policy.
(a) Description of automated services. HostDesk includes optional automation features that, when you turn them on, carry out defined actions on your behalf, such as issuing guest credits, dispatching vendors, replenishing supplies, or sending guest messages. The categories, scope, value limits, and operating modes for each set of actions you approve are called an Approved Rule, and are defined inside the HostDesk application during onboarding and in the property automation review flow.
(b) Your authorization. By approving an Approved Rule, you authorize HostDesk to perform the specified actions within the scope, thresholds, and preferences you approved. This authorization extends to the original rules you set, any modifications you approve through the in-app review flow, and any renewals or re-confirmations you make at the cadences described in the application
(c) Scope is defined in-app, not here. The specific amounts, vendor categories, escalation thresholds, and other parameters of each Approved Rule live inside the HostDesk application at the time of execution, not in these Terms. Changes you make to Approved Rules through the application take effect according to how the application works.
(d) Revocation. You can turn off any Approved Rule at any time through the HostDesk application or by writing to [email protected]. Revocation is prospective only and does not undo actions already taken under a previously approved rule. HostDesk will use commercially reasonable efforts to honor revocations within 24 hours of effective notice.
(e) No fiduciary or agency relationship beyond this scope. Your authorization is limited to the actions defined by your Approved Rules. Consistent with Section 3.1, HostDesk is not your agent, fiduciary, property manager, or representative for any matter outside the scope of an Approved Rule, and is not authorized to bind you to obligations beyond the Approved Rule.
(f) Activity Ledger. Every action HostDesk takes under an Approved Rule is recorded in the Activity Ledger inside your account. You acknowledge that the Activity Ledger is the canonical record of automated actions and agree to monitor it as set out in Section 16.6.
(g) Authority to bind. You represent and warrant that you have the legal authority to authorize HostDesk to take the actions covered by each Approved Rule, including (where applicable) authority granted to you by a property owner or other principal you represent.
(h) Vendor actions executed under Approved Rules. When an Approved Rule dispatches a vendor, the vendor remains an independent contractor under Sections 3.2 and 7. The vendor's performance is governed by Sections 7 and 13, not by this Section 8.3.
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
HostDesk may monitor activity and may suspend or terminate accounts that violate acceptable use standards.
Plan fees, percentage fees, and any setup or onboarding fees are described in your service agreement or on the applicable pricing page at thehostdesk.com/pricing. HostDesk may modify pricing for future terms with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
You are responsible for:
All subscription fees are non-refundable except as required by applicable law. Subscriptions may be cancelled with at least seven (7) days' notice before the next renewal date. Cancellation takes effect at the end of the current billing period; you retain access until then. Unpaid amounts may accrue interest at the highest rate allowed by law, along with collection costs.

The Platform may connect to or depend on third party services such as payment processors, smart lock providers, channel managers, listing platforms, and communication tools.
HostDesk does not control these third parties and is not responsible for:
Your use of third party services is subject to their own terms and privacy policies.
"User Content" means any content you upload, submit, or provide to the Platform, including photos, logos, property information, instructions, reviews, messages, and proof of work.
You retain ownership of your User Content. However, you grant HostDesk a non exclusive, worldwide, royalty free, sublicensable, and transferable license to use, reproduce, distribute, display, adapt, and create derivative works from your User Content in connection with operating, improving, and marketing the Platform and related services.
You represent and warrant that:
HostDesk's collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms. By using the Platform, you consent to our data practices as described there.
We may share information across brands that we operate or control, such as TravelHere, in order to provide guidebooks, local recommendations, and related services. We do not sell personal data in the ordinary sense of the word.
To the maximum extent permitted by law, the Platform and all HostDesk services, content, tools, and AI outputs are provided "as is" and "as available" without warranties of any kind, whether express or implied
Without limiting the foregoing, HostDesk disclaims all implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non infringement, and any warranty arising from course of dealing or usage of trade.
HostDesk does not guarantee that:
Hosts and Vendors are solely responsible for determining whether use of the Platform and AI Tools is appropriate for their situation.
To the maximum extent permitted by law, HostDesk and its affiliates, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, business, data, goodwill, or anticipated savings, whether based in contract, tort, or any other legal theory, arising out of or in connection with:
In addition, HostDesk is not responsible for property damage, personal injury, death, or other harm that occurs at any property, during any Vendor service, or during any guest stay, even if HostDesk tools or staff assisted with coordination
To the extent HostDesk is found liable despite these limitations, HostDesk's total cumulative liability arising out of or relating to the Platform and services will not exceed the greater of:
(a) Standard of care. For actions HostDesk performs under an Approved Rule (Section 8.3), HostDesk will act with the level of care reasonably expected of a competent property-services platform under the circumstances. ostDesk does not guarantee that any single automated action will produce the outcome you considered optimal.
(b) Per-action sub-cap. In addition to the aggregate cap stated above in Section 14, HostDesk's liability for any single automated action under an Approved Rule is sub-capped at the value of that action, or its closest reasonable monetary equivalent for non-monetary actions. The aggregate cap continues to apply across all claims.
(c) Your continuing review obligation. Enabling automation does not relieve you of your responsibility to monitor activity on your property. You agree to review the Activity Ledger at a reasonable cadence and to raise concerns through the dispute process in Section 16.6.
(d) Carve-outs. The sub-cap in (b) and the aggregate cap in Section 14 do not apply to gross negligence or willful misconduct by HostDesk, indemnification obligations under Section 15, or liabilities that cannot be limited under applicable law.
(e) Insurance does not transfer. HostDesk does not carry property, liability, or business-interruption insurance on your property, and HostDesk's performance of automated actions does not transfer or modify any insurance coverage. Coverage decisions remain your responsibility.
(f) Vendor actions. When an Approved Rule dispatches a vendor, HostDesk's liability is limited to its own performance in selecting and dispatching that vendor under the Approved Rule. The vendor's performance is governed by Section 7 and the vendor's own agreement, and HostDesk does not warrant vendor performance, consistent with Section 7.5.
(g) Third-party fraud. HostDesk is not liable for losses caused by fraudulent activity by a Guest, Vendor, or other third party that triggers an Approved Rule, except to the extent HostDesk's own gross negligence or willful misconduct contributed materially to the fraud's success.
The above limitations apply even if any limited remedy fails of its essential purpose.
Some jurisdictions do not allow the exclusion of certain damages or limitations, so some of the above may not apply to you. In such cases, the limitations will apply to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless HostDesk and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with:
If you are a Vendor, your indemnity obligation also covers claims related to your services, subcontractors, work quality, or failure to maintain required insurance.
HostDesk may control the defense or settlement of any matter that is subject to indemnification. You may not settle any such matter without HostDesk's prior written consent if the settlement imposes obligations on HostDesk or admits liability on HostDesk's behalf.
Before filing a claim, you agree to try to resolve the dispute informally by contacting HostDesk support. If we cannot resolve the dispute within a reasonable time, either party may pursue the dispute as described below.
Except as noted below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved by binding arbitration administered by a recognized arbitration provider. The arbitration will take place in Los Angeles County, California, before a single arbitrator.
The arbitrator will have the authority to decide questions of arbitrability and interpretation of this arbitration provision. Judgment on the award may be entered in any court with jurisdiction.
Either party may bring an individual claim in small claims court, if allowed by that court's rules, instead of arbitration. Either party may also seek temporary or preliminary injunctive relief in court to protect confidential information or intellectual property.
To the fullest extent permitted by law, you and HostDesk agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, collective, consolidated, or representative action.
You may not bring a claim as a plaintiff or class member in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of class or representative proceeding.
If this class action waiver is found unenforceable as to a particular claim, then the arbitration agreement will not apply to that claim, which must then be resolved in court.
To the maximum extent permitted by law, any claim arising out of or relating to the Platform or these Terms must be filed within one year after the claim arose. If a claim is not filed within that time, it is permanently barred.
(a) Activity Ledger. HostDesk keeps a record of every action taken under your Approved Rules inside the Activity Ledger. Each entry shows the rule that fired, the action taken, the time of the action, any vendor or counterparty involved, the relevant amount where applicable, and the AI confidence and escalation status at the time of execution. The Activity Ledger is accessible to you for the duration of your account and for 7 years after it closes, subject to applicable record-retention requirements. (See Privacy Policy Section 6.)
(b) Dispute Window. You have thirty (30) days from the time an automated action is recorded in the Activity Ledger (the "Dispute Window") to dispute that action through the in-app dispute tool or by writing to [email protected]. The Dispute Window is a contractual notice period only. It operates inside, and does not modify, the time limit in Section 16.5 or any non-waivable statutory rights.
(c) Ratification. If you do not dispute an automated action within the Dispute Window, you ratify and accept that action as authorized for purposes of this Agreement, subject to (d). Ratification does not waive your rights under Section 14, including its carve-outs, any non-waivable consumer-protection rights, or your right to dispute systemic or pattern-of-conduct issues that span multiple actions.
(d) What ratification does not cover. Ratification under this Section does not extend to gross negligence or willful misconduct by HostDesk, fraudulent activity by any party, actions taken outside the scope of any Approved Rule, or actions the Activity Ledger fails to record accurately or completely.
(e) Dispute-resolution process. Disputes raised under this Section follow the informal resolution and arbitration process in Sections 16.1 through 16.4. HostDesk will respond to a timely-disputed action within 10 business days with a reasoned determination supported by the relevant Activity Ledger entries.
(f) Tolling for inaccessibility. If the Activity Ledger is unavailable to you for any consecutive period of 7 days within the Dispute Window, the Dispute Window is tolled for the duration of inaccessibility.
(g) Effect of revocation. Revoking an Approved Rule under Section 8.3(d) does not retroactively reopen the Dispute Window for actions already ratified under (c).
(h) Records request. Upon your written request, HostDesk will provide a copy of the Activity Ledger entries relevant to a disputed action, in a portable machine-readable format, within 10 business days.
These Terms apply from the time you first use the Platform and continue until terminated as described here.
You may stop using the Platform at any time. If you have a separate signed agreement with HostDesk, that agreement may describe how to terminate your plan or services and what fees may still be owed.
HostDesk may, at its discretion and without liability to you, suspend or terminate your access to all or part of the Platform, or deactivate your account, if:
Upon termination, your right to use the Platform ends immediately. Certain provisions of these Terms will survive termination, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnities, and dispute resolution.
HostDesk may modify, suspend, or discontinue any feature or part of the Platform at any time, with or without notice. We may also update these Terms. When we do, we will post the updated Terms with an updated "Last Updated" date.
Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Platform.
Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict of law principles, except where preempted by federal law.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. HostDesk's failure to enforce any provision is not a waiver of its right to do so later.
Assignment. . You may not assign or transfer your rights under these Terms without HostDesk's prior written consent. HostDesk may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Entire Agreement. These Terms, together with any referenced policies and any applicable signed agreements, form the entire agreement between you and HostDesk regarding the Platform and supersede all prior or contemporaneous understandings.
HostDesk offers SMS (text message) notifications to registered Hosts and platform users to keep them informed about account activity, bookings, and operational updates. SMS messages are delivered via Twilio Inc., a third-party messaging provider. By providing your mobile phone number and opting in to receive SMS notifications, you consent to receive automated text messages from SuperHost Depot LLC / HostDesk. SuperHost Depot is not responsible for charges from your mobile carrier. SMS delivery depends on carrier availability and network conditions and is not guaranteed
Program description: Transactional and operational notifications including booking confirmations, guest inquiry alerts, check-in and check-out reminders, work order updates, and platform account alerts. These messages are triggered by activity on the HostDesk platform and are not promotional in nature.
Consent: End users opt in by creating an account on thehostdesk.com and providing their mobile phone number. At account creation or within account settings, users check a box expressly agreeing to receive operational SMS notifications from HostDesk / SuperHost Depot. Consent is not a condition of purchasing any product or service.
Message frequency: Message frequency varies based on your account activity.
